Terms of Service

1. Service Description

RiskLoop is an AI-powered governance, risk & compliance platform operated by Zapheron (Norway). The platform enables organizations to identify, assess, monitor, and mitigate risks, manage compliance obligations, track vendors and contracts, and generate reports — with AI-assisted analysis throughout.

2. Acceptance of Terms

By creating an account or using RiskLoop, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

3. Eligibility

• You must be at least 18 years old.
• You must be authorized to bind your organization to these terms.
• You must provide accurate and complete information when creating an account.

4. Account Terms

• You are responsible for maintaining the security of your account and password.
• You must provide accurate, current, and complete registration information.
• You are responsible for all activity that occurs under your account.
• One organization account per legal entity.
• You must notify us immediately of any unauthorized use of your account.

5. Subscription & Billing

• Current pricing is available on our pricing page.
• New accounts receive a 14-day free trial with full access to features.
• Subscriptions renew automatically at the end of each billing period.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• No refunds are provided for partial billing periods.
• All payments are processed securely by Stripe. We do not store payment card details.
• We reserve the right to change pricing with 30 days' notice. Price changes do not affect the current billing period.

7. Data Ownership

• You retain all rights to your data. RiskLoop does not claim ownership of any data you upload or create.
• You grant Zapheron a limited license to process your data solely for the purpose of delivering the service.
• You can export your data at any time using the platform's export features.
• After subscription termination, your data is retained for 30 days (export window) and then permanently deleted in accordance with our Privacy Policy.

8. Acceptable Use

You agree not to:

• Use the service for any illegal purpose or in violation of applicable laws.
• Reverse engineer, decompile, or disassemble any part of the service.
• Share your account credentials with unauthorized parties.
• Use automated scripts, bots, or scraping tools to access the service.
• Attempt to gain unauthorized access to other users' accounts or data.
• Upload malicious content, viruses, or harmful code.
• Interfere with or disrupt the integrity or performance of the service.

9. Service Availability

• We provide the service on a best-effort basis. We aim for high availability but do not guarantee a specific uptime percentage unless agreed in a separate enterprise agreement.
• Planned maintenance will be communicated with reasonable notice.
• We are not liable for service interruptions caused by events beyond our reasonable control (force majeure), including natural disasters, internet outages, third-party service failures, or government actions.

10. Limitation of Liability

• Our total liability to you for any claims arising from or related to the service is limited to the total fees you have paid in the 12 months preceding the claim.
• We exclude liability for indirect, consequential, incidental, special, or punitive damages, including loss of profits, data, or business opportunities.
• During the free trial period, the service is provided "as is" without warranties of any kind.
• Nothing in these terms limits liability for fraud, gross negligence, or death or personal injury caused by negligence.

11. Indemnification

You agree to indemnify and hold harmless Zapheron, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your data, or your violation of these terms.

12. Termination

• By you: Cancel your subscription at any time through your account settings. Access continues until the end of the current billing period.
• By Zapheron: We may terminate your account for material breach of these terms with 30 days' written notice, or immediately for serious violations (illegal use, security threats).
• On termination: You have a 30-day window to export your data. After this period, all data is permanently deleted.

13. Governing Law & Jurisdiction

These terms are governed by the laws of Norway. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Oslo, Norway.

14. General

• Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force and effect.
• Entire agreement: These terms, together with the Privacy Policy, constitute the entire agreement between you and Zapheron regarding the service.
• No waiver: Failure to enforce any provision of these terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
